Terminology

The following definitions apply throughout this PTA and every policy it references, whether a term appears in capitals or lowercase.

"Autonomous Machines" means the machines, vehicles, robots, agents, and precision systems that Entity and its affiliates design, build, test, or operate, together with the software, models, data, and hardware that control them.

"AI" or "Third-Party AI" means general-purpose artificial intelligence tools, models, and services, including large language models, chatbots, and generative tools, that are provided by companies other than Entity. Entity does not own, control, supervise, or endorse Third-Party AI, and is not responsible for it.

"Automated Systems" means Autonomous Machines, Third-Party AI, and any other software, algorithm, model, or automation used by or for Entity or the Services, whether or not a human reviews its results. Where this PTA says "artificial intelligence" or "automated systems," it means Automated Systems, including both Autonomous Machines and Third-Party AI.

"Outputs" means any content, code, data, analysis, image, design, document, decision, action, or communication produced, assisted, or triggered by Automated Systems.

"Services" means Entity's websites, products, prototypes, software, models, documents, demonstrations, and related offerings, whether free or paid, for-profit or nonprofit.

"Protected Parties" means Entity and its past, present, and future parents, subsidiaries, affiliates, sibling entities, members, shareholders, investors, directors, officers, managers, employees, contractors, volunteers, agents, licensors, and suppliers.

"Including" means including but not limited to. Headings are for convenience only and do not limit any provision. If a defined term conflicts with ordinary meaning, the defined term controls.

Nonexclusive License

- If you follow this PTA and all related policies (By-Law, Terms, Privacy, Copyright, etc.), Entity grants you a limited, revocable, non-exclusive license to use the Services for personal, non-commercial purposes. - This license does NOT allow: • resale or commercial use of the Services or content; • collecting data, descriptions, or other content; • making derivative works; • using account info for others; • data mining, scraping, or similar methods. - All rights not granted are reserved by Entity and its content providers. - You may not reproduce, copy, sell, or otherwise exploit any part of the Services without written permission. - Framing, meta tags, or using Entity trademarks without consent is forbidden. - You must follow the law. International Clients and Activities

The Services are available internationally. You're responsible for following all laws when using the Services internationally. If you use Services other than Entity's own, you're subject to that site's PTA.

You allow us to use automated translation tools for content and messages. We may also offer manual translation tools. We don’t guarantee accuracy or availability of translations.

Content

You confirm you own or have permission to use any content (text, images, artwork, trademarks, etc.) you provide to the Services. You agree to protect Entity from any claims related to that content. Entity owns the final web content created.

By uploading or posting content through the Services (even after account deletion), you give us a worldwide, permanent, royalty-free license to use it in any format. You also waive moral and publicity rights to the extent allowed by law.

All content provided through the Services is owned by Entity or its contractors and is protected under U.S. and international copyright laws.

Images, graphics, logos, and similar design elements in the Services are trademarks of Entity and may not be used in ways that cause confusion or harm Entity’s reputation. Other trademarks belong to their respective owners.

Some features of the Services are protected by Entity’s patents or third-party licenses.

The Services use data, input, and logic that may include your information. Entity owns all related intellectual property.

The Services may assign visuals (e.g., images, avatars) randomly or relatively across accounts or content.

The Services are based on technology and assumptions that may have flaws or errors. You agree that Entity is not responsible for any losses or issues from these limitations.

Any information in the Services, including what you submit, is considered tradeable by Entity unless otherwise agreed.

You confirm that your content, its posting, and its use through the Services do not infringe any rights. This includes any use by Entity, its Clients, or partners.

We may show third-party content (images, descriptions, data, etc.). We may change or revoke use permissions at any time.

We aim for accurate data but cannot guarantee our analytics, data, or content will be available, correct, or current. You agree not to hold us or data providers liable for errors. You may not remove marks or make derivative works from our content without written permission.

Gifts

Entity may offer Gifts to selected Clients. To qualify, you must provide verified personal information (e.g., legal name, ID proof like a passport or driver’s license) that matches your account. You may also need to confirm registration. You're responsible for keeping your info up to date and for claiming Gifts. You must receive Entity emails to participate.

Gifts cannot be transferred or substituted, even upon death. Undeliverable addresses or uncashed checks (after 60 days) may result in forfeiture. Gift recipients are responsible for taxes. Non-U.S. residents may face 30% tax withholding but may reclaim it under a tax treaty; Entity is not responsible for that.

Gift winners allow Entity to use their name and address for publicity without extra payment (unless restricted by law). By participating, you release Entity and affiliates from any liability related to the Gifts. Additional terms may apply.

Donations and Nonprofit Entities

Where Entity identifies itself as a nonprofit organization, including a 501(c)(3) organization, donations to Entity are voluntary and are made without any expectation of goods, services, or other consideration, except as Entity states in writing at the time of the donation.

Donations are not an investment, loan, purchase, or grant of equity, and do not create ownership, governance, voting, or economic rights in Entity or in any affiliate. Donations to a nonprofit Entity do not confer any interest in a for-profit entity, and a for-profit entity does not solicit donations.

Donations are final and non-refundable except where required by law or where Entity agrees in writing. Entity applies donations to its charitable mission, including programs for children, education, health, food security, the environment, animals, humanity, and scientific research and development, at the discretion of its governing board, and may direct funds to its greatest needs unless a restriction is accepted in writing.

Tax treatment depends on your individual circumstances and on Entity's status at the time of the donation. Entity does not provide tax, legal, or financial advice, and you should consult your own advisor. Any acknowledgment or receipt is issued only for amounts actually received, in the form required by applicable law.

Entity may decline, return, or investigate any donation that it believes violates law, sanctions, or this Agreement, or that conflicts with its mission. You represent that funds you donate are lawfully yours to donate.

Policy Enforcement

If there's a Client issue, Entity may review past behavior and the situation to decide how to apply its policies. Entity may be flexible if it believes it's the right thing for both parties.

Confidentiality

Both parties must keep each other's Confidential Information private, unless required by law or to fulfill this PTA. If disclosure is required, the disclosing party should give advance notice when possible.

Information Rights and Publicity

Entity may use information collected from your use of the Services, according to its Privacy Policy. Entity won’t share Client Data or Third-Party Client Data unless: • You or the Third-Party give permission; • It's required by law or needed to protect rights, property, or safety; • It’s shared with trusted service providers (e.g., for billing or storage), who are contractually bound to only use it as directed and protect its confidentiality.

Indemnification

Where allowed by law, you agree to defend and cover Entity and its affiliates for any third-party claims, damages, costs (including legal fees), or penalties related to: • Breaking this PTA; • Your use of the Services; • Violating laws or regulations; • Misstatements you make about the Services, software, or reports; • Third-party claims related to your use; • Privacy violations; • Third-party actions tied to your use. Entity will notify you of such claims and may take over the defense at its own cost. You must cooperate reasonably in the defense.

Third-Parties

If a Third-Party uses the Services through your account, you confirm that: • You’re authorized to bind the Third-Party to this PTA; • Entity can share Client Data specific to the Third-Party; • You won’t share that data with others without permission.

The Services may include links to external sites or services. Entity does not control or endorse them. You use them at your own risk, and Entity is not responsible for any outcomes.

When using the Services, you agree not to:

* ⚖ Post or list content in the wrong category.

* ⚖ Break laws or violate Entity’s policies or systems.

* ⚖ Use the Services if you're underage or banned.

* ⚖ Post false, misleading, or harmful content.

* ⚖ Manipulate feedback or rating systems.

* ⚖ Transfer your Services account or ID without permission.

* ⚖ Send spam, chain letters, or pyramid schemes.

* ⚖ Spread viruses or harmful tech.

* ⚖ Use bots or scrapers to access the Services.

* ⚖ Bypass security systems or overload the platform.

* ⚖ Export the Services in violation of export laws.

* ⚖ Copy, share, or alter content without permission.

* ⚖ Profit from the Services or its data/software.

* ⚖ Collect information about Clients without consent.

* ⚖ Try to get around any technical protections.

If you misuse the Services or harm others, Entity may suspend or end your account, remove your content or status, cut discounts, or take legal or technical steps to stop your access — at its sole discretion.

Disclaimer of Warranties; No Liability Under No Circumstances

The Services may include fictional or imagined content, generated by Entity or Clients, such as stories, scientific or mathematical works. Any similarities to real people, places, or events are purely coincidental.

Entity aims to keep the Services safe and running smoothly, but uninterrupted access can't be guaranteed. Notifications and updates may be delayed for reasons beyond Entity's control.

You use the Services at your own risk. They are provided "AS IS", "WITH ALL FAULTS", and "AS AVAILABLE". To the extent allowed by law, Entity makes no express or implied warranties, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

No advice or information from Entity—whether spoken or written—creates any warranty unless specifically stated in this PTA. The content is meant for general information and education only, and not as legal, financial, or professional advice. Consult your own advisors before acting on any information from the Services.

Where allowed by law, Entity (including its affiliates and personnel) is not liable, and you agree not to hold them responsible, for any damages or losses (including data loss, revenue, or reputational harm) resulting from:

* ⚖ your use of or inability to use the Services;

* ⚖ information, analytics, or other guidance provided by the Services;

* ⚖ delays or interruptions in the Services;

* ⚖ viruses or harmful software from accessing or linking to the Services;

* ⚖ bugs, glitches, maintenance outages, or errors in the Services;

* ⚖ damage to your device from using the Services;

* ⚖ actions or content from third-parties, including items listed through the Services or the removal of fake items;

* ⚖ suspension of your account or actions taken due to misuse of the Services;

* ⚖ any changes to this PTA or Entity's policies that require you to adjust your business practices, content, or behavior.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ENTITY AND ITS PAST, PRESENT, AND FUTURE PARENTS, SUBSIDIARIES, AFFILIATES, SIBLING ENTITIES, MEMBERS, SHAREHOLDERS, INVESTORS, DIRECTORS, OFFICERS, MANAGERS, EMPLOYEES, CONTRACTORS, VOLUNTEERS, AGENTS, LICENSORS, AND SUPPLIERS (THE "PROTECTED PARTIES") WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICES, THIS PTA, OR ANY PRODUCT, PROTOTYPE, OR INFORMATION, UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF THE PROTECTED PARTIES FOR ALL CLAIMS WILL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID TO ENTITY FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE. IF YOU PAID NOTHING, INCLUDING IF YOU ONLY BROWSED, DONATED, OR USED FREE SERVICES, THE LIMIT IS ZERO.

Nothing in this PTA excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud, willful misconduct, or any non-waivable consumer right. Where a limit is not permitted, it applies to the smallest extent the law allows, and the remainder stays in force.

These limits are an essential basis of this PTA, apply even if a remedy fails of its essential purpose, and apply whether a claim is in contract, tort, negligence, strict liability, statute, or otherwise. Any claim must be brought within one year after it arises, or it is permanently barred, where the law allows.

Assumption of Risk

YOU USE THE SERVICES, AND ANY PRODUCT, PROTOTYPE, DEMONSTRATION, SOFTWARE, MODEL, OR DATA, ENTIRELY AT YOUR OWN RISK. Artificial intelligence, robotics, autonomous systems, and analytics are experimental technologies that can produce errors, omissions, or unexpected results, and no system is completely secure or error-free.

You are solely responsible for your decisions and for verifying any output before relying on it. You voluntarily assume all risks of loss, injury, or damage arising from your use or reliance, and, where allowed by law, release the Protected Parties from claims arising from those risks.

Experimental and Safety-Critical Technology

Products and systems described on the Services, including aerial vehicles, autonomous systems, sports and video analytics, and hardware, are under development. Specifications, ranges, speeds, and safety features are design goals validated, if at all, through simulation, and are not certified performance or guarantees.

Nothing is available for sale, operation, or deployment unless Entity says so in a signed writing, and any use requires applicable regulatory approval. You must not use any output, demonstration, or prototype in a safety-critical, medical, aviation, or life-support setting, and you must not rely on it for that purpose.

Artificial Intelligence and Automated Systems

ENTITY'S PRODUCTS, SERVICES, SOFTWARE, MODELS, PROTOTYPES, DESIGNS, ANALYTICS, DOCUMENTS, WEBSITES, AND COMMUNICATIONS, AND THE CONTENT, CODE, DATA, IMAGES, AND OTHER MATERIALS IN THEM (TOGETHER, "OUTPUTS"), ARE DEVELOPED, GENERATED, OPERATED, TESTED, AND MAINTAINED WITH THE HELP OF VARIOUS ARTIFICIAL INTELLIGENCE, MACHINE LEARNING, AND AUTOMATED SYSTEMS, INCLUDING SYSTEMS PROVIDED BY THIRD PARTIES, AND THEIR ACTIONS MAY OCCUR WITH LITTLE OR NO HUMAN REVIEW.

Automated systems can be inaccurate, incomplete, outdated, biased, inconsistent, or unexpected, can invent facts or sources, can fail without warning, and can produce results that differ each time. Outputs may contain errors, omissions, security flaws, or infringing or unlawful material, and may not reflect Entity's views.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PROTECTED PARTIES ARE NOT LIABLE FOR ANY LOSS, DAMAGE, INJURY, OR CLAIM ARISING FROM OR RELATED TO THE DEVELOPMENT, TRAINING, OPERATION, OUTPUT, DECISION, ACTION, FAILURE, OR UNAVAILABILITY OF ANY ARTIFICIAL INTELLIGENCE OR AUTOMATED SYSTEM, INCLUDING BUT NOT LIMITED TO ERRORS, HALLUCINATIONS, BIAS, AUTOMATED DECISIONS, AUTONOMOUS OR ROBOTIC ACTIONS, MISCLASSIFICATIONS, DATA LOSS, SECURITY INCIDENTS, DELAYS, MISSED OR MISTAKEN COMMUNICATIONS, AND THE ACTS OR OMISSIONS OF ANY AI PROVIDER, WHETHER OR NOT FORESEEABLE, AND WHETHER OR NOT A HUMAN REVIEWED THE OUTPUT.

This section applies to every product, service, prototype, website, document, agreement, notice, and communication of Entity and its affiliates, for-profit and nonprofit, and applies in addition to, and without limiting, every other disclaimer and limit in this PTA.

No Reliance on Automated Output

Outputs are provided for general information only. You must independently verify any Output before relying on it, and you must not rely on any Output for legal, financial, investment, tax, medical, safety, employment, or other significant decisions.

Entity does not warrant that Outputs are original, accurate, lawful, fit for any purpose, or free of third-party rights. Similar Outputs may be created for others, and you receive no exclusivity in them except as stated in a separately signed agreement.

You are solely responsible for how you use any Output and for any decision made with or without it. Where allowed by law, you release the Protected Parties from claims arising from your use of or reliance on any Output, and you agree to defend and indemnify them as stated in the Indemnification section.

Nothing in this PTA excludes liability that cannot lawfully be excluded, including liability for fraud or willful misconduct, or any non-waivable consumer right. Where a limit is not permitted, it applies to the smallest extent the law allows.

No Professional, Financial, or Investment Advice

All content, analytics, charts, market data, and statements on the Services are for general information only. They are not legal, tax, accounting, medical, financial, or investment advice, and they are not an offer or solicitation to buy or sell any security, asset, or digital value instrument.

Markets and investments involve risk, including the total loss of principal. Past performance does not indicate future results. Analytics are estimates and are not guarantees. You should consult your own licensed advisors before acting.

Forward-Looking Statements

The Services contain forward-looking statements about plans, timelines, products, markets, and results. They reflect current expectations and assumptions, involve risks and uncertainties beyond Entity's control, and may change without notice. Actual results may differ materially, and Entity has no duty to update them.

Protection of Investors, Employees, and Personnel

The Protected Parties are intended third-party beneficiaries of the disclaimers, releases, and limits in this PTA and may enforce them directly. No director, officer, employee, contractor, volunteer, member, shareholder, or investor of Entity has personal liability to you, and you agree to look solely to Entity for any remedy.

An investor's ownership of, or investment in, Entity or an affiliate does not create liability to you. Nothing in this PTA changes the rights or obligations of any investor under a separately signed agreement with Entity.

Survival and Severability of Protections

The sections on Limitation of Liability, Assumption of Risk, Experimental Technology, Artificial Intelligence and Automated Systems, No Reliance on Automated Output, Separate Legal Entities, Protection of Personnel, Indemnification, and Disputes survive termination, expiration, and your ceasing to use the Services. If any protection is held unenforceable, it is limited or modified to the minimum extent needed, and the rest remains in force.

Proprietary Rights Notice

- The Services, including the Software and all related IP rights, belong solely to Entity (and its subsidiaries). - Any rights not explicitly given to you in this PTA remain with Entity and its licensors. - Entity keeps full ownership of the Software and Documentation. - You agree not to, nor let others: (a) sublicense, distribute, or use the Services or Software beyond what this PTA allows; (b) copy, modify, translate, reverse engineer, or try to find the source code or secrets of the Services; (c) rent, sell, assign, or transfer rights in the Software or Services; (d) use any tool or software that disrupts the operation of the Services or Software; (e) use trademarks, logos, or brand features related to the Services without Entity’s written permission; (f) register or help register any trademarks or copyrights related to Entity other than in Entity’s name; (g) remove or change any copyright or trademark notices on the Services; (h) seek court orders to block use of the Services for patent infringement during or one year after this PTA term.

Release

- If you have a dispute with one or more Clients, you release us and Entity (and related parties) from all claims or damages connected to that dispute. - You waive any laws that limit this release only to claims you knew about at the time you agreed.

Disputes

- PLEASE READ THIS CAREFULLY. IT AFFECTS YOUR RIGHTS AND HOW CLAIMS BETWEEN YOU AND ENTITY ARE HANDLED.

- Any dispute related to this or past PTA versions, your use of Services, or related products/services will be handled as described below.

Applicable Law

- Except where federal law says otherwise, the laws of the State of Wyoming, without regard to conflict of law rules, govern this PTA and any disputes between you and Entity.

Prohibition of Class and Representative Actions and Non-Individualized Relief

Arbitration Procedures

- Arbitration is handled by a neutral arbitrator, not a judge or jury. - Courts have very limited ability to review arbitration results. - Arbitrators can grant the same relief as courts, on an individual basis. - Arbitrators follow this PTA like a court. - Only courts decide if arbitration applies or if this section on class actions is enforceable.

- Arbitration will be conducted by the American Arbitration Association ("AAA") using their rules, adjusted by this PTA. - AAA rules, including how many arbitrators serve, apply. - AAA rules are at www.adr.org or by calling +1 (800) 778-7879.

- To start arbitration, a party must send a completed Notice of Dispute ("Notice") by voice messages, email, and mail. - Notices to Entity go by email and mail; Entity sends Notices to your address on file. - Notice must include claim details and requested relief. - You must keep your mailing address updated.

- If you and Entity can’t resolve the dispute within 30 days after Notice, arbitration may begin. - Arbitration forms are on www.adr.org. - The initiating party files with AAA and sends the form to the other party. - Entity will send arbitration forms to your address on file. - Settlement offers aren’t shown to the arbitrator.

- Arbitration hearings take place where Entity is located or another agreed place. - For claims $10,000 or less, hearings may be by phone or written submissions unless the arbitrator requires in-person. - If in-person, parties may attend by phone unless otherwise ordered.

- Arbitrators decide claims based on law and equity, honoring legal privileges. - Arbitrators aren’t bound by past rulings involving different Clients but must follow rulings on the same Client if law requires. - Arbitration decisions are final and binding. - Courts may enter judgment on arbitration awards.

Arbitration Expenses

- Filing, administration, and arbitrator fees follow the AAA's Rules unless this PTA to Arbitrate says otherwise. - If the arbitrator finds your claim frivolous, you agree to pay all related fees as per the AAA's Rules.

Severability

- Except for Section 1 ("Prohibition of Class and Representative Actions and Non-Individualized Relief"), if any part of this PTA to Arbitrate is invalid, the rest still applies. - If any part of Section 1 is invalid, the entire PTA to Arbitrate becomes void. - Other parts of the PTA and its Disputes Section remain effective.
